SILVER Talk Show Hosting Agreement

This is Global Talk Radio's pay-as-you-go SILVER Hosting Agreement.  In order to host your own show,
you must complete this form, and read and agree to the terms of this contract online.

Part 2:  Terms of the Agreement

1.   Global Talk Radio ("GTR") agrees to produce, engineer, record, archive and stream the Show for you ("Host").  If Host will be remote, Host is responsible
       for purchasing and configuring any necessary hardware and software to provide a quality connection to the studio, unless connecting by telephone. 
       Host is fully responsible for preparing the show's content and for all vocals used in hosting the show.  In all cases, Host is responsible for supplying
       its own royalty-free bumper music (which must not require any cue sheets), within the terms of this agreement and without liability/licensing to ASCAP,
       BMI, SESAC or other such agency.  Host and its guests will pay for their own telephone calls into the studio and/or conference call center.
2.   The length and frequency of production are specified above.  (Typically 80% of the Show's time will be dedicated to Host, and 20% to commercials and
       station breaks.  For example, a typical one-hour show will include about 48 minutes of Host material and 12 minutes of commercials and breaks.)
3.   The Show's content (not including any copyrighted material, such as music) will be owned by Host.  GTR is hereby granted a complete and irrevocable
       license, beginning with the start of this agreement and continuing for a period of two (2) months after termination of this agreement, to promote, market,
       edit, store, make available for syndication, negotiate its own advertising, and re-broadcast via webstream, on-demand or listener download, in full or in
       part, the Show, without compensation or liability to Host.
4.   The recording schedule for the Show will be determined by GTR and Host.
5.   GTR agrees not to copy or transfer the Show to any other party, except as permitted in Paragraph 3 herein, without permission from Host.  At no time
       shall GTR be held responsible if any portions of the Show are copied, reproduced, edited or distributed by listeners.
6.   GTR will make a good-faith effort to backup and preserve recorded shows.  However, at no time shall GTR be held financially responsible for lost, deleted
      or corrupted recordings.
7.   GTR may obtain licenses with ASCAP and BMI for public performances of their copyrighted music, which Host may incorporate into its show.  (However,
      if licensing agreements change with ASCAP and BMI, then Host shall immediately abide by those changes.)  ASCAP and BMI require, and Host agrees to
      provide GTR with, the following information for any copyrighted music incorporated into any show:  Name of Song, Artist/Bank, Composer/Writer, Author,
      Usage Code, and Duration of Performance.  Host agrees to indemnify and hold harmless GTR in the event that there are any errors or omissions in the
      data that it provides to GTR.
8.   Host agrees not to include any content that is copyrighted by parties outside the scope of this agreement, or which is illegal, slanderous or libelous,
      whether direct or indirect.  Host agrees to indemnify and hold harmless GTR from any legal actions that arise as a result of broadcasting or archiving any
      material in the Show.
9.   GTR may edit the Show at its sole discretion, for the purpose of adjusting segment length, removing or adding advertisements and announcements, or
      for removing inappropriate content.
10. Either party may advertise or promote the fact that Host's show is available at GTR's website.  Host is encouraged to record a show announcement to be
      played elsewhere on GTR's website.  GTR is granted permission to a) create its own announcement for Host's show, using audio clips from actual shows as
      part of the announcement, b) create one web page on GTR's website for information about the show, and c) use Host's name and the name of the Show
      in audio and visual format throughout GTR's website and other media for the purpose of promoting the Show.  Host is granted permission to use GTR's
      name in audio and visual format throughout its website, its recorded program and other media for the purpose of promoting the Show's availability at GTR.
11. As compensation for producing the Show as described in Paragraph 1 herein, Host agrees to pay GTR the Production Fee as herein prescribed in advance
      on or about the 1st of each month for that month's shows.  The initial payment will include the first month's fee, plus the last month's fee, plus the
      one-time Setup Fee as herein prescribed.
12. Host is permitted to sell its own advertising as prescribed in type and quantity in the "Advertising Allotment" fill-in section herein, and Host shall collect and
      keep all monies due for said advertising.  (All advertising must be sold on either a one-month or month-to-month basis.)  Display and banners ads will
      appear on the Show's "Show Page".  Audio commercials will play during live broadcasts of the Show and its archived streams, but will not be included in
      downloads.  GTR is permitted to sell all other advertising for the Show, and GTR shall collect and keep all monies due for those ads.
13. This agreement commences on the Start Date referenced herein, and ends on the final day of the same calendar month, and then automatically renews
      after that for additional terms of one month each.  However, either party may terminate this agreement with a 30-day written notice.  Upon termination
      of this agreement, GTR will maintain its license for promotion of the Show for two (2) months as outlined in Paragraph 3 herein.
14. Host will not be reimbursed for its own late arrivals and no-shows, technical problems out of GTR's control, or acts of God.  (Host should arrive in our
      studio, or be connected remotely, 5-10 minutes before show time.)  Further, Host will not be reimbursed for shows that would normally be scheduled
      on national holidays or during the period between and including Christmas Eve and New Year's Day; instead, encore performances of previous shows
      will be played on those days.
15. GTR will attempt to reschedule any shows cancelled by technical problems at GTR's studio.  If GTR and Host are unable to agree on a reschedule date,
       then Host will be issued a prorated credit toward the following month's fees.
16. GTR does not guarantee the quality or success of any show, and GTR shall not be held financially responsible for guests or listeners who are unable to
      connect to the Show, or for technical glitches that occur during a show, regardless of the reason.  Host must always be prepared to improvise when
      recording a show.
17. GTR reserves the right to immediately suspend or cancel any program at any time for Host's default under any section of this agreement, or for legal or
      ethical reasons.  In case of early termination by GTR, GTR shall reimburse to Host prorated/unused production fees for shows not yet produced, plus
      security deposits (if any), less any monies owed to GTR by Host, within 30 days.
18. This agreement will be governed by and construed in accordance with the laws of the state of California.
19. Production fees are subject to change, and GTR shall give Host at least a 30-day notice prior to any change in fees.
20. This agreement constitutes the entire agreement between Host and GTR.  Host will be notified of any changes to the standard agreement 30 days in
      advance, and the most current Host Agreement will always be available online for Host's review.  Upon notification of changes to this contract, Host may
      either accept the changes by doing nothing, or Host may deny those changes and terminate this agreement with a 30-day notice prior to the changes
      taking effect.
